Vendor Agreement

The terms a restaurant accepts when it lists on DealsBanana, subscribes to a plan, and publishes coupons.

1. INTRODUCTION

These Vendor Terms and Conditions ("Terms") govern the participation of restaurants, kitchens, and food establishments ("Vendor," "You," or "Your") in the DealsBanana platform located at dealsbanana.com ("Platform"). The Platform is operated by Manviga LLC, a Texas limited liability company ("DealsBanana," "we," "us"). By completing the vendor registration process and agreeing to these Terms, You enter into a binding legal agreement with DealsBanana.

PLEASE READ THESE TERMS CAREFULLY BEFORE REGISTERING. BY CLICKING "I AGREE," YOU CONFIRM THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS.

2. VENDOR ELIGIBILITY AND OWNERSHIP VERIFICATION

2.1 Legal Capacity

You represent and warrant that:

• You are 18 years of age or older
• You are legally authorized to enter into binding agreements
• You have the full legal authority to register and represent the restaurant or food establishment on the Platform

2.2 Ownership or Authorized Representation

You confirm that you are either:

1. The sole owner or co-owner of the registered restaurant/kitchen; OR
2. A duly authorized representative acting on behalf of the owner(s) with written authorization from the owner(s)

If you are a representative and not the owner, you must provide:

• A notarized letter of authorization from the restaurant owner(s)
• Clear identification proving your authority to act on the business's behalf
• Contact information for the primary owner(s)

2.3 Identity Verification Requirement

To complete vendor registration, You must provide valid government-issued identification (passport, driver's license, national ID card, or similar) that clearly displays:

• Your full legal name
• Date of birth
• Valid date range (not expired)
• Clear photograph

3. NAME MATCHING REQUIREMENT

3.1 Legal Name Alignment

You acknowledge and agree that:

• The name provided during registration must exactly match the full legal name displayed on your valid government-issued photo ID
• Middle names, initials, or common variations (e.g., "Robert" vs. "Bob") are not acceptable substitutions
• If your ID shows "John Michael Smith," the registration field must show "John Michael Smith"

3.2 Name Mismatch Protocol

If the name on your submitted ID does not match the registration name:

• DealsBanana will reject the registration
• You will be notified of the discrepancy
• You may resubmit with a corrected name that matches your ID exactly
• Repeated submission of mismatched information may result in permanent account suspension

3.3 Future Name Changes

If you legally change your name (marriage, deed poll, etc.):

• You must update your profile within 7 days
• Submit updated identification matching the new legal name
• Failure to update may result in account suspension

4. VENDOR ACCOUNT AND REGISTRATION

4.1 Registration Information Accuracy

You warrant that all information provided during registration is:

• Complete and accurate
• Not misleading or fraudulent
• Kept current and updated within 14 days of any changes

4.2 Account Security

You are solely responsible for:

• Maintaining the confidentiality of your login credentials
• All activities conducted through your account
• Immediately notifying DealsBanana of any unauthorized access or suspected breach

4.3 Single Account Policy

Each restaurant must maintain only one active account on the Platform. Operating multiple accounts for the same restaurant is prohibited and will result in account termination.

5. BUSINESS REGISTRATION AND COMPLIANCE

5.1 Legal Business Status

You confirm that the restaurant/kitchen:

• Is a legally registered business in its jurisdiction
• Holds all required local health permits, food handling licenses, and operating licenses
• Complies with all applicable food safety regulations
• Maintains valid business registration documents

5.2 Documentation

You agree to provide, upon request:

• Valid business registration certificate
• Health inspection clearance or food safety permit
• Tax identification number or equivalent
• Proof of business address
• Any other documentation required by local regulatory authorities

5.3 Compliance with Laws

You agree to:

• Comply with all federal, state, and local food safety laws and regulations
• Maintain proper food handling and hygiene standards
• Display food allergen warnings as required by law
• Comply with labor laws and worker regulations
• Pay all applicable taxes and fees

6. RESTAURANT INFORMATION AND COUPON PUBLISHING

6.1 Accurate Restaurant Details

You agree to provide and maintain accurate information about your restaurant:

• Business name (must match legal registration)
• Operating hours (must be truthful and updated regularly)
• Address and contact information
• Cuisine type and specialties
• High-quality photographs of the restaurant and food items

6.2 Coupon Content Standards

The Platform enables You to publish coupons (for example: percentage off, fixed-dollar off, free item, slow-day, happy-hour, flash or first-order offers, punch cards and prepaid packs — the types available to you depend on your plan) that diners may claim and redeem in person at your restaurant or other place of business. Coupons are not online food orders and DealsBanana does not deliver food bought with them. Separate optional programs that do involve payment through the Platform (paid claims, prepaid vouchers and packs, event tickets, catering and event-space deposits, and LunchBox office lunch) are described in Section 9.2a. All coupons You publish must:

• Contain accurate, truthful descriptions of the offer
• State the discount or benefit clearly and unambiguously
• State all conditions, including any minimum spend, eligible items, day/time restrictions, dine-in/takeout limits, blackout dates, daily redemption caps, group/"meetup" requirements, and expiry date — where the Platform supports machine-enforced conditions, these are checked automatically at the moment of redemption
• Clearly identify allergens for any free or featured food item (nuts, dairy, gluten, shellfish, etc.)
• Mark vegetarian/vegan items clearly and specify meat type (chicken, mutton, beef, seafood, etc.) where relevant
• Comply with all applicable advertising, promotion, and consumer-protection laws

6.3 Coupon Modifications and Withdrawal

You may publish, edit, or withdraw coupons at any time. However:

• Edits to a coupon's terms take effect within 1 hour of publishing
• A withdrawn coupon will no longer be available for diners to claim; You must continue to honor coupons that were validly claimed before withdrawal in accordance with their stated terms and expiry
• Misleading or non-compliant coupons may be removed by DealsBanana without notice

6.4 Prohibited Coupon Content

Your coupons cannot include or promote:

• Expired or spoiled food items
• Items not permitted under applicable food safety laws
• Offers misrepresented as something they are not (e.g., "homemade" if mass-produced)
• Dangerous or harmful substances
• False, deceptive, or unfulfillable discount terms

7. COUPON OBLIGATIONS

7.1 Publishing Truthful Coupons

You agree to:

• Publish only coupons whose terms You are able and willing to honor
• Ensure every coupon's discount, benefit, conditions, and expiry are accurate and not misleading
• Maintain quality standards consistent with any food item featured in a coupon
• Keep your published coupons current and withdraw any offer You can no longer honor

7.2 Honoring Claimed Coupons

You must honor every coupon that a diner has validly claimed when the diner redeems it in person at your restaurant (dine-in or pickup), subject to the coupon's stated terms, conditions, group/"meetup" requirements, redemption limits, and expiry. Redemption is performed in person via the diner's QR code. You acknowledge that:

• A coupon is not an online food order, and DealsBanana does not deliver food bought with it
• The in-store sale is a transaction solely between You and the diner; DealsBanana is not a party to it and moves no money on it (the optional programs in Section 9.2a are separate)
• A diner's claim of a coupon reserves the offer but is not a prepaid order

7.3 Refusing or Voiding a Redemption

You may decline to honor a presented coupon only where:

• The coupon has expired, has already been redeemed, or exceeds its stated redemption limit
• The diner does not meet the coupon's stated conditions (e.g., minimum spend, eligible items, day/time restriction)
• A technical error or evidence of fraud or manipulation is present

Abuse of refusal — declining to honor validly claimed, in-policy coupons — may result in account suspension.

7.4 Group "Meetup" Coupons

For group "meetup" coupons that require a minimum number of diners or other group condition:

• You confirm at redemption whether the stated group condition has been met
• If the condition is met, You honor the coupon per its terms
• If the condition is not met, You decide the outcome (e.g., decline, partial offer, or honor at your discretion); the Platform processes no payment and moves no money in either case

8. PHOTOS AND VISUAL CONTENT

8.1 Photo Requirements

• All food and restaurant photos must be original or properly licensed
• No generic stock photos from stock photo websites
• Photos must accurately represent the actual food and restaurant
• High-resolution images (minimum 1080x1080 pixels recommended)

8.2 Intellectual Property Rights

You represent and warrant that:

• You own or have rights to all submitted photos
• Photos do not infringe third-party copyrights
• You grant DealsBanana a non-exclusive license to display photos on the Platform
• You indemnify DealsBanana against IP infringement claims

8.3 Photo Removal

DealsBanana may remove photos that are:

• Misleading or fraudulent
• Not representative of actual food quality
• Infringing on third-party intellectual property
• Violating these Terms

9. PAYMENT TERMS AND SUBSCRIPTION

9.1 Subscription Structure

You acknowledge that DealsBanana is a subscription marketplace and that DealsBanana charges no commission on a coupon redeemed in your restaurant, on any plan — the in-store sale is entirely yours.

Some optional features do carry a fee, and where one does it is shown to you before you accept it and is stated on the pricing page:

• A catering job you win through the Platform carries a commission on the job total, taken from the deposit the customer pays. The rate in force is published at dealsbanana.com/pricing and is fixed for a booking when that booking is created.
• Where a coupon carries a claim price that the customer pays through the Platform, card processing and a platform fee may be deducted before the balance reaches you.
• An optional paid placement (a sponsorship) is billed separately at the price shown in your dashboard before you buy it.

Plans available at the time of this version — the pricing page governs, and it reads the live schedule:

• Free plan: $0 per month, self-signup, limited to one live coupon at a time and to the coupon types listed for it on the pricing page at the time of this version
• Growth Plan: $19.99 per month
• Higher Plans: Additional plans with expanded features may be offered, as defined in the then-current plan and pricing schedule published at dealsbanana.com/pricing

DealsBanana may, at its sole operational discretion, comp a paid subscription for certain restaurants; any such accommodation is not a published plan and may be withdrawn.

9.1a Cancellation and What Happens to Live Coupons

You may cancel a paid plan at any time from your dashboard. Cancellation stops future renewals and takes effect at the end of the period you have already paid for; coupons you published stay live until then. Moving between paid plans is prorated. Refunds of subscription charges are governed by the Refund Policy.

9.2 Billing and Payment Processing

• The subscription is billed on a recurring basis through Stripe or another third-party processor
• Payment processing costs and applicable taxes apply
• The subscription fee is for the right to publish coupons on the Platform; it is not a payment for, or a share of, any food sale
• For coupons redeemed in your restaurant, DealsBanana processes no food payment and every in-store sale and its proceeds remain entirely Yours. Money DealsBanana collects for You under the optional programs in Section 9.2a is paid out as described there
• Subscription cancellation and any refunds are governed by the DealsBanana Refund Policy

9.2a Programs Where DealsBanana Collects Money for You

These programs are optional. Where You take part, DealsBanana collects the customer's payment through Stripe and pays You through Stripe Connect, less any fee stated below or shown before You opt in. Payouts are held for a settling period (seven days by default) and are paused while a complaint, refund or chargeback on that money is open. Exact rates and windows are platform settings shown in your dashboard and at dealsbanana.com/pricing; the figures below are those in force at the time of this version.

• Paid coupon claims, prepaid vouchers and packs: You are paid for the value redeemed, after card processing and any platform fee shown on the offer.
• Last Call (surplus portions): You receive the full price the customer paid, earned when the portion is handed over.
• Event tickets (meetups You host): the ticket price is split between You and the platform (70% to You at the time of this version), shown before You publish a paid event. If the event does not reach its minimum attendance before it starts, or You cancel it, every ticket is refunded and nothing is paid out. As host You must run the event as described, at the stated time and place, and honour every valid ticket.
• Catering: the customer pays a deposit through the Platform; DealsBanana's commission on the job total is taken from the deposit and the remainder is released to You after the release period (48 hours after the deposit is paid at the time of this version). The balance is released after the event.
• Event-space deposits: no commission; released after the event under the refund window shown on the deposit request.
• LunchBox office lunch: the customer pays when ordering. You are paid for each box when the customer taps "I collected it" or, if they do not, automatically a few hours after delivery (four hours at the time of this version). No commission is charged on LunchBox; an optional delivery charge You set is shown to the customer. You prepare the food, label it, and are responsible for its contents, allergens and safety; responsibility passes to the customer when the box is left at the building's reception.
• Promotions You fund: a launch price or similar promotion You agree to (for example a $1 first LunchBox) is funded by You: the price, cap and dates You set are shown to customers, and You are paid the promotional price for those orders.

9.3 Invoice and Payment Records

You agree to:

• Review your subscription invoices for accuracy
• Report discrepancies within 30 days
• Maintain records of all transactions for tax purposes

9.4 Chargeback Disputes

Any chargeback or payment dispute on a subscription charge will:

• Be investigated by DealsBanana
• Result in temporary suspension of your account pending resolution
• Be subject to standard chargeback processing fees ($15 per dispute)
• Result in account termination if fraudulent activity is detected

10. RATINGS, REVIEWS, AND CUSTOMER FEEDBACK

10.1 Rating System

You understand that:

• Customers may rate your restaurant (1-5 stars) and leave written reviews
• Ratings are publicly displayed and affect your visibility on the Platform
• You cannot remove negative reviews you disagree with
• False reviews can be reported and removed by DealsBanana

10.2 Response to Reviews

You may:

• Respond professionally to customer reviews
• Provide context or corrections if factually incorrect
• Not use responses to solicit review removal or manipulation
• Engage respectfully with all customer feedback

10.3 Prohibited Conduct

You must not:

• Post fake positive reviews of your own restaurant
• Pay customers to post positive reviews
• Threaten or harass customers who leave negative reviews
• Post reviews for competing restaurants
• Manipulate the rating system in any way

Violation of these rules will result in immediate account suspension and possible legal action.

11. DATA AND PRIVACY

11.1 Customer Information

You acknowledge that you will have access to customer:

• Names and phone numbers (for coupon claim and in-person redemption coordination)
• Records of which coupons a diner has claimed and redeemed at your restaurant
• Coupon claim and redemption history with your restaurant
• Preferences and dietary restrictions

11.2 Data Handling Obligations

You agree to:

• Use customer information only for honoring coupon claims and redemptions
• Not share customer data with third parties without consent
• Not use customer data for marketing without explicit permission
• Comply with applicable data protection laws (GDPR, CCPA, etc.)
• Implement reasonable security measures to protect customer data
• Report any data breaches to DealsBanana within 24 hours

11.3 Prohibited Uses

You must not:

• Contact customers outside the Platform for promotional purposes
• Sell or rent customer information
• Share customer data with unaffiliated businesses
• Use customer data for unauthorized marketing campaigns

12. PROHIBITED CONDUCT

You agree not to:

12.1 Illegal Activities

• Engage in fraud, money laundering, or other illegal activities
• Operate an unlicensed or illegal food business
• Sell counterfeit or stolen goods
• Violate food safety laws or regulations
• Engage in human trafficking or child labor

12.2 Platform Abuse

• Circumvent Platform features or systems
• Use bots or automated tools to manipulate coupons, claims, redemptions, or ratings
• Attempt to bypass subscription payments
• Create fraudulent customer accounts
• Engage in market manipulation or collusion with other vendors

12.3 Conduct Standards

• Discriminate against customers based on protected characteristics
• Engage in harassment, threats, or abusive behavior
• Post obscene, offensive, or misleading content
• Impersonate other vendors or individuals
• Engage in defamation or libel

12.4 Quality and Safety

• Use expired or spoiled ingredients
• Misrepresent food quality or origin
• Fail to disclose allergens or dietary restrictions
• Serve unsafe or contaminated food
• Violate health and safety regulations

13. LIABILITY AND DISCLAIMERS

13.1 Assumption of Risk

You acknowledge that:

• DealsBanana is an intermediary platform and does not prepare, cook, or deliver food
• You are solely responsible for food quality, safety, and compliance
• DealsBanana does not guarantee customer satisfaction
• Technical issues may occasionally prevent coupon publishing, claim, or redemption processing

13.2 Limitation of Liability

To the maximum extent permitted by law:

• DealsBanana's total liability to You shall not exceed the total subscription fees paid by You in the 12 months preceding the claim
• DealsBanana shall not be liable for indirect, incidental, consequential, or punitive damages
• DealsBanana shall not be liable for:
  • Lost profits or revenue
  • Business interruption
  • Reputational harm
  • Third-party claims (except as noted in Section 8.2)

13.3 Indemnification

You agree to indemnify and hold DealsBanana harmless from any claims, damages, or expenses arising from:

• Your breach of these Terms
• Your violation of applicable laws
• Food poisoning, contamination, or safety incidents
• Customer injuries caused by your food or operations
• Third-party claims related to your restaurant
• Intellectual property infringement by your content

14. SUSPENSION AND TERMINATION

14.1 Causes for Immediate Suspension

DealsBanana may immediately suspend your account without notice if:

• Food poisoning outbreak linked to your restaurant is reported
• Health and safety violations are discovered
• Fraudulent or illegal activity is detected
• You violate payment obligations
• You engage in harassment or threatening behavior
• You misrepresent information to gain unfair advantage

14.2 Causes for Termination

DealsBanana may terminate your account (with 7-14 days written notice) if:

• You repeatedly violate these Terms
• Your rating falls below 3.0 stars consistently
• You fail to respond to support communications
• You abandon your account for 30+ days
• Your business license expires or is revoked
• You violate any section of these Terms

14.3 Account Termination Process

Upon termination:

• Your restaurant profile will be hidden from the Platform
• Your published coupons will be withdrawn from the marketplace and will no longer be available for diners to claim
• Coupons already validly claimed by diners before termination will be honored or otherwise handled in accordance with
• Your subscription will be settled and closed in accordance with the DealsBanana Refund Policy
• You will receive a final subscription invoice and payment summary
• You may appeal the termination within 30 days

14.4 Reapplication After Termination

Vendors whose accounts are terminated for cause may reapply only after:

• 90 days have passed (minimum waiting period)
• Issues causing termination have been resolved
• All outstanding fees and disputes are settled
• DealsBanana approves reapplication
• A new identity verification is submitted

15. INTELLECTUAL PROPERTY RIGHTS

15.1 DealsBanana Intellectual Property

You acknowledge that:

• DealsBanana owns all rights to the Platform, software, and branding
• You are granted a limited, non-exclusive license to use the Platform for vendor purposes
• You may not reproduce, modify, or distribute DealsBanana materials

15.2 Your Content License

By posting content to the Platform (coupons, photos, descriptions), you grant DealsBanana:

• A worldwide, royalty-free license to display your content
• The right to use your content in marketing and promotional materials
• The right to modify formatting for display purposes (not coupon terms, discounts, or pricing)

16. MODIFICATIONS TO TERMS

16.1 Right to Change Terms

DealsBanana reserves the right to modify these Terms at any time. Changes become effective:

• For new vendors: Upon registration
• For existing vendors: 30 days after posting the updated Terms

16.2 Continued Use as Acceptance

If you continue operating your account after the 30-day notice period, you are deemed to have accepted the modified Terms.

16.3 Material Changes

If we make material changes that negatively affect your obligations, we will:

• Provide at least 60 days written notice
• Allow you to terminate without penalty if you disagree
• Highlight the specific changes made

17. DISPUTE RESOLUTION

17.1 Informal Resolution

Before initiating formal proceedings, You agree to:

• Contact DealsBanana support at support@dealsbanana.com
• Provide detailed documentation of the dispute
• Allow 30 days for DealsBanana to respond and attempt resolution

17.2 Mediation

If informal resolution fails, disputes may be submitted to non-binding mediation before any legal action.

17.3 Governing Law and Jurisdiction

• These Terms are governed by the laws of the State of Texas
• Both parties consent to the exclusive jurisdiction of the courts of Dallas County, Texas
• Any legal action must be commenced within 1 year of the dispute arising

17.4 Arbitration

Any dispute that mediation does not resolve must be resolved through binding arbitration in Dallas County, Texas under the American Arbitration Association's Consumer Arbitration Rules, except for claims that may be brought in small claims court. Class actions are waived.

19. ADDITIONAL TERMS BY JURISDICTION

20. ENTIRE AGREEMENT

These Vendor Terms and Conditions constitute the entire agreement between You and DealsBanana regarding vendor participation. This agreement supersedes all prior agreements, understandings, and negotiations.

21. SEVERABILITY

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force.
